Deal Announcement

goetzpartners advised on the sale of the healthcare IT solution provider xevIT GmbH to Conscia A/S, a Nordic Capital-backed company

05. novembre 2019

goetzpartners was mandated by the shareholders as exclusive M&A and debt advisor on the sale of xevIT GmbH, a leading German mid-sized full-service IT provider of scalable digitisation solutions, including its subsidiary sigeso GmbH, an operator of a secure communication platform for German Electronic Health Record data, to the leading pan-European security and IT infrastructure solutions provider Conscia A/S, a portfolio company of Nordic Capital.

On top of being a Cisco Gold Partner in Germany with strong competencies within networking and communication solutions, xevIT has developed several unique solutions for the healthcare sector, including a communication platform that interconnects more than 2 million users across hospitals, clinics, practitioners, etc.

This acquisition is Conscia’s 8th since 2014 bringing Conscia one step closer to the position as Europe's leading security and IT infrastructure partner with focus on Cisco technology, which is the strategic goal for 2023. "We have quadrupled our turnover over the last five years from DKK 500 million to DKK 2 billion. The next milestone is DKK 4 billion, and the German market is a strategic anchor point for this. We are already market leading in Scandinavia, the Netherlands, and Slovenia, and with xevIT we will strengthen our position even further in the European security and IT infrastructure market. Over the past 2-3 years, we have made very significant investments in expanding our portfolio of security solutions, e.g. we now have a 24/7 Security Operations Center (SOC), and with xevIT as part of the Conscia Group, we will be able to better serve the German customers with these types of solutions", says Claus Thorsgaard, CEO Conscia Group.

"xevIT and Conscia have many commonalities, both culturally and operationally in the way we go to market. In addition, we complement each other's high-level technical competencies very well - all in all, it is a very good match. xevIT specializes in IT innovation and digitisation for the healthcare sector, and we look forward to becoming part of Conscia's ‘Network of Knowledge’ strategy as well as being able to deliver our core solutions to the customers within Conscia's current markets", say the founders of xevIT.

The Purchase Agreement is subject to customary closing conditions.

goetzpartners Corporate Finance acted as exclusive M&A and debt advisor to the shareholders, further underlining our competence as advisor of choice in the TMT sector (40+ transactions in the digital space) and in cross-border M&A transactions. Furthermore, this transaction proves the success of goetzpartners' integrated Transaction Advisory Group (M&A, Debt Advisory, CDD & Strategy) for strategic as well as financial sponsor clients.
