goetzpartners advised Samson on the sale of the controlling stake in its business to Cherkizovo

Samson, a meat processing company in Saint-Petersburg region, sold the controlling stake in its business to Cherkizovo, the Russia’s largest vertical-integrated manufacture of meat products.

The deal scope included 75% shares in Vsevolozhsky Meat Plant LLC and 75% shares in Svezhiy Product LLC which owned production facilities in Saint-Petersburg. With a portfolio of branded high-quality meat products Samson holds 41% of local market share.

The merger is a strategic partnership aiming to provide Samson with a sustainable access to feedstocks on a highly volatile market and supporting Cherkizovo in strengthening its position in the North-Western region of Russia. Samson will continue to operate independently by the current management team.

The transaction documentation was signed on December 2018 and closed on 30 July 2019 upon fulfilment of all conditions precedent. The deal value is not disclosed.

Samson, founded in 2008, is one of the leaders on the meat-processing market in Saint-Petersburg region (2nd regional market in Russia after Moscow). The company produces a variety of meat products for healthy nutrition, including ground beef, pork and chicken, raw sausages, beef & pork steaks, etc. under nationally recognised and awarded brands (Samson, Grillmania, Filea). Total production output in 2018 – ca. 20 tonnes.   

Samson employs ca. 550 people and has sales of >60 EURm in 2018.

Founded in 2005, Cherkizovo had over RUB 102.6 billion revenue and RUB 20.4 billion EBITDA in 2018.
