goetzpartners advised VHV on the acquisition of Eucon Group, a portfolio company of Hg Capital

goetzpartners' Transaction Advisory Group was mandated as exclusive M&A and Commercial advisor by leading German insurance group VHV Vereinigte Hannoversche Versicherung a. G. ("VHV") on the acquisition of Eucon Group ("Eucon"), a portfolio company of software investor Hg Capital ("Hg"). This represents goetzpartners' 13th TMT transaction and 8th transaction of its multi-services Transaction Advisory Group in the past two years.

VHV Vereinigte Hannoversche Versicherung a. G., Hanover is acquiring a majority shareholding in Eucon Group, headquartered in Münster. In a bidding process, VHV prevailed over strong competition. VHV will acquire a share of greater than 75 per cent, while the company founders, Marcel and Maurice Oosenbrugh, shall retain a holding. The VHV Group is thus tapping into an additional and forward-looking field of competence, taking another important step in its comprehensive digitalization strategy, with synergy effects for the entire VHV Group. Eucon, in turn, will gain a strong partner and can continue its international growth path.

Eucon is one of the world’s leading providers of best-in-class market information and data-based systems for efficient product management in the automotive aftermarket. Customers include all relevant car manufacturers and suppliers, as well as a variety of workshop chains. For insurers, Eucon digitalizes claims management and is one of the market leaders for digital platform solutions for data and document processing. In addition, Eucon offers digital solutions for the real estate industry for efficient and transparent invoice management. The Eucon Group will remain as an independent company headquartered in Münster. The current leadership team headed by Sven Krüger has agreed to continue to manage the company in the long run in order to ensure the continuation of business policies. Both parties have agreed to keep the purchase price confidential.

goetzpartners' Transaction Advisory Group acted as sole and exclusive M&A buy-side and Commercial Due Diligence advisor to VHV. This transaction further underlines our competence as advisor of choice in the TMT industry. We are pleased by the successful outcome and that our transaction advisory services yield outstanding results amidst the COVID-19 lock-down. The terms of the transaction were not disclosed. The transaction is subject to customary anti-trust approvals and closing is expected later this year.
